Terms of Use for Creators

PLEASE READ THESE CREATOR TERMS CAREFULLY BEFORE APPLYING TO BE OR OTHERWISE USING FANFIX AS A CREATOR. 

This Terms of Use for Creators (“Creator Terms”) are additional terms which apply if you use FanFix as a Creator (“Creator”, “you”, or “your”) and form part of your Agreement with us. As used herein, “Creator”, “you”, and “your” shall include agents engaged by Creators to assist with the management or operation of their Account. By using FanFix as a Creator, you also agree to our Terms of Service, Privacy Policy, Content Guidelines, Payment Terms, and Fan Terms (if you also use FanFix as a Fan), as applicable, all of which are incorporated herein by reference.

Capitalized terms not defined below will have the same meaning as provided in the underlying Terms of Service..

Applying for a Creator Account

1.1 Apply for a Creator Account.

To become a Creator, you may simply apply through the FanFix website: https://www.fanfix.io/.

• Creators must be a natural person, or, in the case of a Digital Persona, the natural person or agency that controls, operates, and is contractually responsible for that Digital Persona (as defined in the Terms of Service), and in either case must be at least eighteen (18) years of age; provided, however, that no Digital Persona may depict or represent itself as under eighteen (18) years of age (a “Minor”). NO PARENTAL OR GUARDIAN CONSENT PERMITS ANYONE UNDER EIGHTEEN (18) TO REGISTER, CONTROL, OR OPERATE A CREATOR ACCOUNT.
• Other eligibility requirements and limitations apply as determined in our sole discretion. 

Approval of your application to become a Creator is at our sole discretion. We may direct you to provide information to Persona Identities, Inc. (“Persona”) for verification of your age, identity, and/or other eligibility criteriabefore, during, and after your Account registration. 

1.2 Approval of Creator Account.

If we accept your application, you will be notified that you are a Creator on FanFix and may register a FanFix User ID and/or Account at no charge and cancel at any time in order to interact with your Fans through Direct Messaging and/or exclusive Content.  Your Account as a Creator starts upon your acceptance of this Agreement at the time of registration.  If you cancel or delete the Account, you may do so by emailing us at [email protected].  However, if you delete your Account, you cannot reactivate it or retrieve any Content or information that you have added to your portal on FanFix.  Therefore, if you choose to take a break, we recommend that you simply stop posting your Content, instead of deleting your Account. Deletion of your Account affects only your own ability to access, retrieve, or manage Content and information in your portal; it does not affect, limit, or terminate FanFix’s worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to Content you previously posted, which survives deletion of your Account as set forth in the Terms of Service. 

1.3 Acceptance of these Terms.

By using FanFix you acknowledge that you shall comply in full with these Creator Terms and our Terms of Service, Privacy Policy, and Payment Terms. Every Creator is bound by these Creator Terms. If you have an agent, agency, management company, or other third party assisting with or operating your Account on your behalf, this does not affect your personal responsibility.

Interacting with Your Fans: Revenue Programs for Creators

2.1 Interact with Your Fans.

On FanFix, you can provide your Fans something exciting that gives them unique benefits, like exclusive engagement, early access to Content, merchandise, and engaging experiences.  In return, you will receive loyal support from your Fans and recurring revenue from the Memberships, prepaid Direct Messages, Locked Content, and other opportunities as we expand our Revenue Programs (as outlined below). You shall not violate someone else's rights by impersonating them, posting their private or confidential information, or otherwise infringing their intellectual property rights, publicity rights, or right to privacy. You agree that we reserve the right to investigate, prevent or take other actions regarding suspected impersonation or other violation of our Community Guidelines.

2.2 Memberships.

Creators may offer renewable membership subscriptions where Fans may pay a fee to purchase access to exclusive Content and/or other benefits (“Membership”).  Creators may offer Membership on a monthly or other recurring basis, as described to Fans at the time of purchase.  Creators may also offer different tiers of Memberships based upon certain levels of Content, or other benefits offered to their Fans.  We have the sole discretion to set the fees for all Memberships and such fees are subject to change by us without notice (the “Membership Fees”).  Creators may request adjustments to their Membership Fees and we may choose to accept or reject these requests in our sole discretion.  Note that we are not required to allow any particular person or group of persons to be your Fans and/or purchase your Membership(s).

2.3 Direct Messaging.

In addition to Memberships, your Fans may also pay a fee or other valuable consideration for the rights to engage with your account through direct messages on FanFix or video calls using a designated third party provider (together “Direct Messages” or “Direct Messaging”).  The minimum price for each Direct Message will be determined by us in our sole discretion. Creators may request adjustments to the minimum price for their Direct Messages, and we may choose to accept or reject these requests in our sole discretion.        

2.4 Locked Content

You may generate and send message blasts with pre-populated Content that is behind a paywall (each a “Locked Content”) to your Fans who maintain an Account and have subscribed to receive messages from you.  A minimum price for each Locked Content will be determined by us in our sole discretion.  However, you may set approved fees for Locked Content so long as such price is higher than the minimum price set by us.  You may request adjustments to the minimum price for certain Locked Content, and we may choose to accept or reject these requests in our sole discretion.

2.5 Revenue Programs

We offer multiple programs (“Revenue Programs”) so that you are rewarded for your creativity, including exclusive Content, product promotions, and other interactions with your Fans. Further, as a condition for participation in the Revenue Programs and receiving payment as a Creator, you shall (i) comply with applicable laws (including tax regulations) and FanFix's Content Guidelines; and (ii) not use your FanFix Account to promote one or more “Competitive Platforms”, which refer to Patreon, Passes, OnlyFans, and/or any other online content monetization platforms that allow content creators (including Digital Personas and agencies managing the content) to create, distribute, monetize, and promote creator-led or fan-facing offerings, including through subscriptions, tips, pay-per-view content, messaging, memberships, promotional campaigns, and marketplace features.

2.6 Content Warranties

As a Creator on FanFix, you warrant to us that for each item of Content that you post, display, upload, or publish on FanFix:

• a) Your Content complies with our Terms of Service and Content Guidelines;
• b) You (i) either own your Content (and all intellectual property rights in it) or have a valid license to offer and supply your Content to your Fans on FanFix; (ii) if you are a natural person or an agent managing a Creator Account, you were at least eighteen (18) years of age when the Content was created; and (iii) if you manage a Digital Persona, that Digital Persona will not be depicted or promoted as a Minor. You will provide supporting documents as we may request in our discretion.
• c) If your Content includes any third-party material, you have secured all rights, licenses, written consents and releases that are necessary for the use of such third-party material in your Content and for the subsequent use of such third-party material on FanFix; and
• d) If your Content shows anyone other than or in addition to you (even if that natural person or Digital Persona cannot be identified from the Content), each individual shown must be (i) yourself, (ii) another Creator on FanFix, (iii) a consenting individual at least eighteen (18) years of age, or (iv) a Minor, whose parent or guardian has provided consent to such Minor being featured on your Content. At all times your Content shall comply with the Content Guidelines, including that such Content does not constitute Prohibited Content. You will promptly provide proof or supporting documentation of your compliance with this subsection (d), including reasonable due diligence to verify age and identity before distributing such Content on FanFix, as we may request in our discretion.  

2.7 AI-Generated / AI-Assisted Content.

You may use artificial intelligence or similar tools to create, modify, enhance, or generate Content (“AI Content”), provided that all AI Content complies with these Creator Terms, the Terms of Service, and the Content Guidelines. Creators remain solely responsible for all AI Content they post and represent and warrant that they have obtained all rights, licenses, written consents, and releases necessary to create, upload, and use AI Content on FanFix. AI Content may not depict, use, simulate, or resemble the likeness, voice, name, image, or identity of any third party (including any public figure) without proper authorization and any required consent and releases, and may not be used to impersonate or mislead others. For clarity, if AI Content depicts anyone other than the Creator, the Creator must comply with the requirements applicable to Content featuring other individuals (including age/identity verification and documentation upon request). FanFix may review, require labeling or disclosure, restrict visibility of, or remove AI Content at any time in its sole discretion.

AI Content, including any Digital Persona or chatbot interaction, must never represent or imply that a Digital Persona or chatbot is a real human being, or otherwise mislead Users about whether they are interacting with a human being or an AI-generated persona.

Creator Fees and Payments

3.1 Creator Fees

On FanFix, Creators receive 80% of direct payment(s) made by Fans through FanFix for Memberships, Direct Messages, Locked Content, and any other Revenue Programs that enable Creators to monetize their Content (unless superseded by Other Program Rules as defined in Section 4 below) (“Creator Fees”).  For clarity, other than Creator Fees set forth in each applicable Revenue Program, we reserve the right to retain all other revenues derived from FanFix as a platform.

• a) We will pay Creators the applicable Creator Fees approximately thirty (30) days after the end of the applicable calendar month or in accordance with other payment schedules or plans(s) made available to Creators by us.
• b) For certain Memberships, a Fan may choose to pay in advance for a duration of three (3) months or longer (“Bulk Membership Period”).  In those instances, your Creator Fees will equal a Fan’s total payment at the time of the initial purchase (or renewal) of the Membership less the FanFix Fees (“Bulk Membership Payment”).
• c) Notwithstanding the foregoing, if during the applicable duration (for Bulk Membership) or during the applicable month (for single-pay options) when your Content or Memberships generate Creator Fees, you engage in activities described in Section 3.4(a) below (including, without limitation, promoting a Competitive Platform or impersonating a third party), the resulting Creator Fees (whether or not yet been paid out) will be subject to withholding, deduction, and/or recovery in accordance with Section 3.4(a).
• d) Depending upon the location of a Fan, some banks may charge your Fans a foreign transaction fee for their Direct Messages and/or other interactions with Creator(s).  FanFix does not control this charge, which is typically around 3.0%.  Please contact your bank for more information regarding this applicable foreign transaction fee as we do not have any control over the application or amount of such a fee.

3.2 FanFix Fees

We keep the remaining 20% of every transaction on FanFix including, without limitation, direct payment(s) made by Fans for Memberships, Direct Messages, Locked Content, and any other Revenue Programs on FanFix (the “FanFix Fees”). The FanFix Fees do not include any taxes, including but not limited to income taxes on a Creator’s earnings, which are the sole responsibility of each Creator.  For more information, see “Tax” in the Subsection below. 

3.3 FanFix Payment Terms

Notwithstanding the above, the calculation and payment of all Creator Fees and FanFix Fees are subject to our Payment Terms which are incorporated herein by reference. 

3.4 How We Manage and Process Payments

We also handle payment processing issues such as fraud, chargebacks and resolution of payment disputes.  We try to provide you with timely access to your Creator Fees as described above, but you may occasionally experience delays in receiving or accessing them.  We may also block or hold payments of Creator Fees, in our sole discretion, for violations of our policies or for compliance reasons, including collecting tax reporting information. When payments of Creator Fees are delayed or blocked, we try to communicate the reason to you promptly. If you have questions about a payment that has been blocked, please contact us at [email protected].  To protect Creators, we may block Fans’ payments if we believe them to be fraudulent.  Sometimes activities like refunds can put your Account’s balance into the negative.  If your balance becomes negative, then we reserve the right to recover those funds from future payments.  

• a) We may withhold, deduct, and/or recover all or part of any Creator Fees due to you, whether or not yet paid out, in our sole discretion for the following reasons:
• i If we think that you have or may have breached any part of these Creator Terms, the Terms of Service, the Content Guidelines, or any other polices or guidelines applicable to FanFix, including without limitation by (a) promoting one or more Competitor Platforms on your FanFix Account, (b) as a natural person and Creator, impersonate a third party for purposes of monetizing, promoting, or distributing your Content; or (c) as a person or agency managing one or more Creator Account(s), use a Digital Persona to impersonate any third party (including through deep-fake tools, voice-cloning software, or similar AI-enabled technologies), in violation of any applicable laws, including without limitation the Ensuring Likeness Voice and Image Security Act (ELVIS Act) in Tennessee and/or similar state or federal laws governing the unauthorized use of a person’s name, likeness, voice, or image. These withholding rights are cumulative with, and not a substitute for, any liquidated damages or other remedies available to FanFix under Section 8.4 of the Terms of Service, including for promotion of a Competitive Platform.
• ii For compliance reasons including, without limitation, collecting tax reporting information;
• iii If you attempt or threaten to breach any part of the Terms of Service or these Creator Terms in a way which we think has or could have serious consequences for us or another User, including without limitation:
• If we suspect that all or any part of the Creator Fees result from unlawful or fraudulent activities, either by you or the Fan who made the payment resulting in the Creator Fees;
• If we suspect that all or part of the Creator Fees result from the Creator’s use of third-party intellectual property that the Creator did not have written permission to use or is otherwise in violation of the ownership rights of others;
• iv.We have received notice that you have secured, encumbered, pledged, assigned, or otherwise allowed a lien to be placed on your Creator Fees, or we have received a court order, garnishment, levy, or other legal process requiring withholding of your Creator Fees (including, without limitation, for child support, spousal support, tax liabilities, judgments, or other obligations).  We undertake no duty to pay Creator Fees to third-party lienholders or payees designated by legal process and may withhold payment of Creator Fees until the lien has been removed or the legal process has been satisfied or released;

• b) We shall not have any responsibility to you if we withhold or forfeit any of your Creator Fees where we have the right to do so under these Creator Terms. 

• c) If you do not provide us, or our third-party payment provider, with all required payment information, you may not be able to receive the Creator Fees due to you.  You acknowledge and agree that we will not be responsible for any damages, delays, losses, costs, expenses, or liabilities arising out of or in connection with your inability to receive Creator Fees or other payments as a result of your failure to provide such information.

3.5 Tax

We collect tax identification information, W-9s (and other similar documentation), and report such information to applicable tax authorities as legally required.  You are required to complete any tax documentation we request and report any income as required by applicable law.  All international, federal, state or other tax liabilities (including income taxes) arising from your use of FanFix will be your sole responsibility unless otherwise explicitly noted by us.  You agree that we may deduct and withhold from any earned Creator Fees any sums, including all tax obligations, required to be withheld and/or paid by us to any governmental authority pursuant to any laws, statutes, ordinances, rules, judgments, or decrees now or hereafter in effect. 

• a)You agree that you are solely responsible for reporting and paying any applicable taxes in connection with any revenue you may earn from your participation in any Revenue Program on FanFix. You agree to cooperate with us and provide additional information about yourself in order to receive payments from us and so that we can comply with applicable laws. Your obligations under this “Tax” Subsection survive expiration or termination of this Agreement.
• b) For the avoidance of doubt, you acknowledge and agree that we are not responsible for advising you on your tax affairs and will not be liable in respect of any general information provided on FanFix and will not be liable for any non-payment of taxes by you. We reserve the right to suspend or close your Account if we are notified of or become aware of any tax non-compliance by you. 

3.6 Independent Contractor

You shall not be considered our agent, employee, or representative, but shall remain in all respects an independent contractor.
